Terms of Service

SOW Studio is a software-as-a-service platform designed to assist professional services organizations with activities including discovery, requirements development, project estimation, scope development, statement-of-work preparation, client collaboration, and project handoff.

Certain features use artificial intelligence and other automated technologies to analyze Customer Data and generate recommendations, summaries, estimates, documents, and other output.

We may improve, modify, add to, or discontinue features of the Service from time to time, provided that we will not materially reduce the core functionality of a paid subscription during its then-current subscription term without reasonable notice.

SOW Studio is intended for business and professional use by adults acting on behalf of themselves or an organization. It is not intended for use by children.

You are responsible for ensuring that your use of SOW Studio complies with laws, contractual obligations, professional requirements, and organizational policies applicable to you and your business.

Customers are responsible for maintaining accurate account information and protecting account credentials.

Each Customer is responsible for activity conducted through its workspace and for determining which users are authorized to access Customer Data.

Workspace Owners and Administrators may manage users, settings, subscriptions, and other administrative functions according to the permissions made available within the Service.

You must promptly notify us if you reasonably believe an account has been compromised or accessed without authorization.

SOW Studio may offer free trials and paid subscription plans.

Unless otherwise stated at signup, eligible new self-service Customers receive a 14-day free trial of the Professional plan without providing a credit card.

At the end of a trial, Customers must select and purchase an available subscription to continue using paid functionality. Data may remain available in a limited or read-only state following trial expiration, subject to these Terms and our data-retention practices.

Paid subscriptions may be offered monthly or annually. Fees, included users, functionality, and other plan characteristics are displayed at the time of purchase.

Subscriptions automatically renew for successive periods matching the selected billing term unless canceled before renewal.

Customers may cancel according to the billing-management functionality provided by SOW Studio. Cancellation ordinarily takes effect at the end of the current paid subscription period unless otherwise stated.

Except where required by law or expressly agreed otherwise, subscription fees already paid are non-refundable.

We may change subscription pricing prospectively by providing reasonable notice. Pricing changes will not affect fees already paid for the current subscription period.

“Customer Data” means information, documents, transcripts, notes, files, records, templates, client information, requirements, estimates, pricing information, SOW content, and other material submitted to or created within SOW Studio by or for Customer.

Customer retains ownership of Customer Data.

Customer grants Anvara AI a limited, non-exclusive right to host, copy, transmit, process, analyze, transform, and otherwise use Customer Data only as reasonably necessary to provide, maintain, secure, support, and improve the operation of the Service, comply with law, and fulfill Customer's instructions.

Customer represents that it has the rights and permissions necessary to provide Customer Data to SOW Studio and to permit its processing as described in these Terms and our Privacy Policy.

SOW Studio uses artificial intelligence to provide certain functionality.

When Customer invokes an AI-powered feature, relevant Customer Data may be transmitted to third-party AI and cloud infrastructure providers acting in connection with providing that functionality.

Anvara AI does not use Customer Data to train Anvara AI's or SOW Studio's proprietary AI models.

We will not represent that a third-party provider follows a particular training, retention, or data-handling practice unless that representation is supported by the applicable provider relationship and terms.

AI-generated content is probabilistic and may contain errors, omissions, inaccuracies, or inappropriate recommendations.

Customer is responsible for reviewing and approving AI-generated output before relying upon it or providing it to a third party.

SOW Studio is a productivity and decision-support tool.

Estimates, hour ranges, pricing recommendations, project assumptions, requirements, SOW language, project plans, and other generated content are provided to assist Customer's professional judgment.

SOW Studio does not guarantee the accuracy, completeness, profitability, commercial suitability, or contractual enforceability of any estimate, scope, price, SOW, or other output.

Customer remains responsible for determining its project scope, pricing, staffing, contractual commitments, and business decisions.

SOW Studio does not provide legal, accounting, tax, financial, or other regulated professional advice.

Customers should obtain appropriate professional advice when necessary.

Subject to these Terms and applicable law, Customer may use, edit, reproduce, distribute, and commercialize output generated for Customer through SOW Studio.

Because generative AI systems may produce similar or identical material for different users, we do not represent that AI-generated output will be unique or eligible for intellectual-property protection.

Anvara AI retains all rights in SOW Studio itself, including its software, interfaces, designs, workflows, documentation, algorithms, trademarks, and other underlying technology and materials.

Customer may upload templates, logos, documents, clauses, and other proprietary materials for use with SOW Studio.

Customer retains ownership of those materials.

Customer grants Anvara AI the limited rights necessary to store, analyze, process, reproduce, and use those materials to provide the requested SOW Studio functionality.

Customer is responsible for ensuring it has sufficient rights to upload and use those materials.

Each party may receive non-public information from the other that reasonably should be understood to be confidential.

Each party will use reasonable care to protect such confidential information and will use it only as necessary to perform or receive the Service or as otherwise authorized.

Confidential information does not include information that becomes public without breach of an obligation, was lawfully known without confidentiality restriction, is independently developed, or is lawfully obtained from another source.

A party may disclose confidential information when required by law, subject to legally permitted notice to the other party.

Customer and its users may not use SOW Studio to violate law; infringe intellectual-property or privacy rights; distribute malware or malicious code; attempt unauthorized access; circumvent security, plan, usage, or access controls; interfere with the Service; use automated means to abuse or overload the Service; misrepresent AI-generated material as independently verified when such representation would be misleading; or use SOW Studio for unlawful, fraudulent, deceptive, or abusive activities.

We may suspend access reasonably necessary to address security threats, unlawful activity, material violations of these Terms, or threats to the Service or other customers.

SOW Studio relies upon third-party infrastructure and service providers, which may include hosting, database, authentication, artificial-intelligence, email, payment-processing, and other technology providers.

Those providers may process information as necessary to provide their services to Anvara AI and SOW Studio.

We are not responsible for third-party services outside our reasonable control.

Anvara AI uses reasonable administrative, technical, and organizational measures designed to protect Customer Data.

No internet-based service can guarantee absolute security, and we cannot warrant that unauthorized access, loss, or disclosure will never occur.

Customer is also responsible for maintaining appropriate security practices, including controlling user access and protecting credentials.

We seek to provide a reliable Service but do not guarantee uninterrupted or error-free availability.

The Service may occasionally be unavailable because of maintenance, updates, third-party service failures, security events, or circumstances outside our reasonable control.

Unless separately agreed in writing, SOW Studio does not provide a contractual service-level agreement or guaranteed response or uptime commitment.

Customer may stop using the Service or cancel its subscription according to the available account and billing functionality.

We may suspend or terminate access for material breach of these Terms, nonpayment, unlawful use, significant security risk, or abuse of the Service.

Where reasonably practicable, we will provide notice and an opportunity to cure before terminating a paid Customer for breach.

Customers may request reasonable assistance obtaining an export of their workspace data or deletion of their account and Customer Data by contacting support@anvara-ai.com.

For workspace-level requests, we may require authorization from a Workspace Owner or Administrator and may verify identity and authority before acting.

Certain information may be retained where reasonably necessary for security, fraud prevention, legal compliance, dispute resolution, financial recordkeeping, backups, or enforcement of these Terms.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOW STUDIO IS PROVIDED “AS IS” AND “AS AVAILABLE.”

ANVARA AI DISCLAIMS IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, UNIQUE, ERROR-FREE, OR SUITABLE FOR CUSTOMER'S PARTICULAR BUSINESS OR CONTRACTUAL PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING FROM THESE TERMS OR THE SERVICE.

EXCEPT FOR CUSTOMER'S PAYMENT OBLIGATIONS, A PARTY'S FRAUD OR WILLFUL MISCONDUCT, OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO ANVARA AI FOR SOW STUDIO DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Customer will defend and indemnify Anvara AI against third-party claims arising from Customer Data or materials supplied by Customer that infringe or violate another party's rights, Customer's unlawful use of the Service, or Customer's material violation of these Terms.

Anvara AI will defend and indemnify Customer against a third-party claim alleging that SOW Studio's underlying proprietary software, when used as authorized, infringes a U.S. intellectual-property right, subject to customary exclusions for Customer materials, modifications, combinations, and use contrary to these Terms.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles.

The parties consent to exclusive jurisdiction and venue in the state or federal courts having jurisdiction over Charlotte, Mecklenburg County, North Carolina.

We may update these Terms from time to time.

If we make material changes, we will provide reasonable notice through the Service, email, or another appropriate method before the changes become effective when required.

Continued use following the effective date constitutes acceptance of the revised Terms.
